Terms of Service

1. About SMPLPXLS

SMPLPXLS LLC ("SMPLPXLS," "we," "us," or "our") is a Washington limited liability company that designs and operates digital products, applications, and tools for the web and mobile devices. SMPLPXLS operates smplpxls.com and a portfolio of applications, including SMPLNVST and others we may release from time to time.

These Terms of Service (the "Terms") form the company-wide agreement between you and SMPLPXLS LLC, and govern your use of smplpxls.com and any SMPLPXLS application that does not publish its own product-specific Terms. By accessing or using a SMPLPXLS site or product, you agree to be bound by these Terms. If you do not agree, please do not use the service.

2. Eligibility

You must be at least 13 years of age to use a SMPLPXLS product. By using a SMPLPXLS site or product, you represent that you meet this requirement. Specific products may set a higher minimum age, in which case the product-specific Terms control. If you are under 18, you should review these Terms with a parent or guardian.

3. Your Account

Some SMPLPXLS products require you to create an account or sign in through a third-party identity provider. You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You agree not to share account access with others or attempt to access another user's account. You agree to provide accurate information when creating an account and to keep that information up to date.

4. Acceptable Use

When using any SMPLPXLS site or product, you agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to reverse-engineer, decompile, scrape, or otherwise extract source code, data, or models from the service except as expressly permitted by law
  • Interfere with or disrupt the integrity, availability, or performance of the service or the infrastructure that supports it
  • Attempt to gain unauthorized access to any account, system, or network associated with the service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the service to send spam, malware, or other harmful content, or to harass, abuse, or harm others
  • Use the service in any manner designed to evade pricing, trial limits, or other access controls (for example, by creating multiple accounts)

Specific products may publish additional acceptable-use rules in their product-specific Terms.

5. Intellectual Property

All content, design, software, logos, trademarks, and other materials that make up SMPLPXLS sites and products are owned by or licensed to SMPLPXLS LLC and are protected by copyright, trademark, and other intellectual-property laws. Except for content you create within a product, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the service for its intended purpose. You may not reproduce, distribute, modify, publicly display, or create derivative works from any part of a SMPLPXLS service without our express written permission.

Content you create within a SMPLPXLS product belongs to you. You retain ownership of your data; we claim no ownership over the content you create using our products.

6. Disclaimer of Warranties

SMPLPXLS sites and products are provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, error-free, or free of viruses or other harmful components, or that any defects will be corrected.

We reserve the right to modify, suspend, or discontinue any SMPLPXLS service, in whole or in part, at any time and without liability to you.

7. Limitation of Liability

To the fullest extent permitted by law, SMPLPXLS LLC and its officers, members, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, or other intangible losses — arising from or related to your use of, or inability to use, any SMPLPXLS site or product, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising from or related to your use of SMPLPXLS sites and products shall not exceed the amount you paid to SMPLPXLS LLC across all SMPLPXLS products in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater. This cap applies in the aggregate across all SMPLPXLS products and properties.

8. Termination

We may suspend or terminate your access to any SMPLPXLS site or product at any time, with or without notice, if we believe you have violated these Terms, the product-specific Terms for that product, or applicable law, or if we determine that continued provision of the service to you poses a risk to us or to other users. You may stop using a SMPLPXLS product at any time. Specific products may offer additional account-management options (such as account deletion, data reset, or subscription cancellation) in their product-specific Terms.

Sections that by their nature should survive termination — including intellectual-property rights, disclaimers, limitations of liability, and governing-law provisions — will continue to apply after termination.

9. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes that affect your rights or obligations, we will provide at least thirty (30) days' advance notice through the affected product, by email to your registered address, or by another reasonable means. Continued use of any SMPLPXLS service after the effective date of any changes constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-law provisions. You agree to the exclusive jurisdiction of the state and federal courts located in King County, Washington for any dispute arising out of or relating to these Terms or your use of SMPLPXLS sites and products, subject to applicable law that requires disputes to be resolved in a different forum.

11. Product-Specific Terms

Use of specific SMPLPXLS applications may be subject to additional product-specific Terms that augment these company-wide Terms. For example, subscription pricing, free-trial mechanics, auto-renewal, refund procedures, and other terms specific to SMPLNVST are published at smplnvst.com/terms. By using a specific SMPLPXLS application, you also agree to its product-specific Terms where applicable. Where the two cover the same topic, the product-specific Terms control for that product; in all other respects these company-wide Terms continue to apply.
